About Entity Ally
What is Entity Ally?
Entity Ally is a daily monitoring service for Florida LLCs and corporations. We watch the official Florida Division of Corporations (Sunbiz) records on your behalf and email you the moment something changes — entity status, registered agent, principal or mailing address, officers, and Annual Report deadlines.
Who is Entity Ally for?
Solo founders and small-business owners with one or two LLCs, CPAs and accountants managing client portfolios, registered agent firms tracking their clients, real estate investors holding multiple property LLCs, and attorneys monitoring entity compliance for legal matters.
What problem does Entity Ally solve?
Every Florida LLC must file an Annual Report by May 1 each year or face an automatic $400 late fee with no exceptions or appeals. On top of that, registered-agent changes, address swaps, and status flips often go unnoticed until they cause real damage — bank account freezes, blocked contracts, even involuntary dissolution. Entity Ally turns Sunbiz from a place you have to remember to check into a service that watches itself.
Is Entity Ally affiliated with the State of Florida?
No. Entity Ally is an independent third-party service. We use the public Sunbiz FTP feed and public web records published by the Florida Department of State. We are not a registered agent service, not a law firm, and not affiliated with the Division of Corporations.
How monitoring works
Where does Entity Ally get its data?
Directly from the official Florida Department of State, Division of Corporations. We pull a quarterly full dataset and a daily incremental update from Sunbiz's public FTP servers, plus a real-time web lookup when you search for an entity not yet cached. All data is sourced from public state records.
How often is the data updated?
The Sunbiz daily file refreshes at approximately 6:00 AM Eastern Time. Our system processes it shortly after, runs change detection across every monitored entity, and queues alerts. Most customers receive notifications the same morning the change appears in the public record.
What changes do you detect?
Status changes (Active → Inactive, dissolution, reinstatement), registered agent name or address changes, principal and mailing address updates, officer additions or removals, and upcoming Annual Report deadlines (configurable: 30 / 14 / 7 days before May 1, on the due date, or after the deadline).
Will I get false positives or duplicate emails?
No. The system uses a deduplication key that combines entity ID, change type, and the actual values; identical changes detected across multiple ingest runs are coalesced into one alert. Idempotent change detection means you only hear from us when something genuinely moved.
Can I monitor non-Florida entities?
Not yet. We focus on Florida (Sunbiz) because the Annual Report ecosystem and $400 late fee make it the highest-pain state. Delaware, Wyoming, and Texas are on the roadmap.
How do I add an LLC to monitor?
Sign up, search by entity name, document number, or registered agent on the dashboard, and click Monitor. You can monitor up to your plan limit (3 on Free, 10 on Starter, 30 on Pro, 100 on Agency).
Alerts & notifications
How am I notified?
Email, sent through Resend. Each alert includes the entity name, document number, the specific field that changed, the old value, the new value, and a deep link back to your dashboard. WhatsApp and Slack delivery are on the roadmap for Agency plans.
Can I customize when I get Annual Report reminders?
Yes. Under Account → Annual Report Reminders, you can enable any combination of 30 / 14 / 7 days before May 1, a reminder on the due date itself, and an urgent overdue alert if no current-year filing is detected after May 1.
What if I want to silence alerts for a single LLC?
Remove it from your monitored list — you can re-add it any time. Per-entity mute toggles are on the roadmap.
Where can I see past alerts?
The Alerts tab on your dashboard shows every alert we've sent you, paginated, with read/unread state and the change-type breakdown.
Florida LLC compliance
When is my Annual Report due?
May 1 of every calendar year. Filing opens January 1. The state filing fee is $138.75 for an LLC. After May 1, a $400 late fee is added automatically with no exceptions.
What happens if I miss the deadline?
On May 2 the $400 late fee is added. If the report is still unfiled by the third Friday in September, the state administratively dissolves the LLC. Reinstatement after dissolution costs $100 plus $138.75 per year the entity was dissolved. Entity Ally is designed to make missing the deadline structurally unlikely.
Why does my registered agent matter?
Florida law requires every LLC and corporation to maintain a registered agent with a physical Florida address during business hours. The registered agent receives service of process (lawsuits) and official state notices. If your agent resigns, dies, or moves and you don't update Sunbiz within 30 days, your entity can be administratively dissolved.
Does Entity Ally provide registered-agent service?
No. We are a monitoring service, not a registered agent. We tell you when your registered-agent record changes; we don't represent you on file with the state.
Is the BOI (Beneficial Ownership Information) report part of the Annual Report?
No. BOI is a separate federal filing under FinCEN, not a Florida state filing. Most domestic LLCs are currently exempt from BOI under the March 2025 interim rule, but rules can change. We do not monitor BOI status; consult a CPA or attorney for federal compliance.
Plans, pricing & billing
What plans do you offer?
Free — 3 LLCs, $0 forever. Starter — 10 LLCs, $9 / month. Pro — 30 LLCs, $24 / month. Agency — up to 100 LLCs, $59 / month (contact us for more). Annual billing offers a 20% discount on every paid tier.
Do I need a credit card to start?
No. The Free plan does not require any payment method. You can monitor up to 3 LLCs indefinitely without entering billing information.
How do I upgrade or downgrade?
From the Account tab, choose your new plan. Upgrades take effect immediately and are pro-rated. Downgrades take effect at the end of the current billing period — you keep access until then.
Who handles billing?
Creem is our payment processor. Card data never touches our servers — Creem handles PCI compliance and stores payment methods. You can manage your subscription, payment method, and invoices via Creem's customer portal, accessible from the Account tab.
Do you offer refunds?
We offer a 14-day money-back refund on any paid plan. Email us within 14 days of your initial charge and we'll refund the full amount. After 14 days, subscriptions are non-refundable but you can cancel renewal at any time.
What happens if my payment fails?
Creem retries failed charges automatically over the following days. We email you a notice asking to update your payment method. If retries fail, your subscription is canceled and your account reverts to the Free plan — your monitored entities remain stored, just capped at the Free limit.
Can I get an invoice for accounting purposes?
Yes. Every payment generates an invoice you can download from the Creem portal (Manage Billing button on the Account tab).
Account & data
How do I reset my password?
On the sign-in page, click "Forgot your password?" (or go directly to /forgot-password). Enter the email on your account and we'll send a reset link valid for a limited time. Open the email, follow the link, and choose a new password (8+ characters, with at least one uppercase letter and one number). If the email doesn't arrive within a few minutes, check your spam folder or contact support.
Can I delete my account?
Yes. Email us from the address on file and we will delete your account and all associated personal data within 30 days. Public Sunbiz data is, of course, not affected by your account deletion.
Where is my data stored?
On managed Postgres infrastructure (Neon) hosted in the United States. Connections use TLS. Passwords are hashed with bcrypt; we never store them in plaintext.
Do you sell my data?
No. We never sell, rent, or share your account information or monitored-entity list with third parties. The only data shared with third parties is what's required to deliver the service: email subject and body to Resend (for delivery), payment metadata to Creem (for billing).
Can I export my data?
Yes. The Export button on the My LLCs tab generates an Excel (.xlsx) or PDF of your monitored entities. Per-entity history (timeline of changes) is exposed via the entity detail modal.

Visit our Contact page or email us. Free-plan response time is best-effort; paid plans receive priority response within one business day.
What if I find a bug or want a feature?
We love that. Email us with as much detail as possible (screenshots help) and we'll get back to you. Customer-driven roadmap items get priority.
