The 7-Point Checklist
Active Status on Sunbiz
Search sunbiz.org. Status must show 'ACTIVE'. Any other status (Inactive, Dissolved, Suspended, Revoked) = NOT in good standing.
Current Annual Report
Annual reports are due May 1 every year. Check 'Most Recent Annual Report Date' — it should be within the last 12 months. Reports filed after May 1 incur a $400 late fee but are still current.
Registered Agent Accuracy
Verify the registered agent name and address match what you expect. Unexpected changes are a fraud signal. Request details if they don't match.
Officer/Manager Names
Confirm the names and titles of officers/managers on Sunbiz match your records. Unauthorized additions indicate unauthorized amendments or control transfer attempts.
Principal Business Address
The address on Sunbiz should match the LLC's actual place of business. If different, verify why (relocation, paperwork error, or fraud).
No Administrative Actions
Check the 'History' section on Sunbiz for any administrative actions (suspensions, dissolution notices). If present, the entity may be in jeopardy.
Formation Date & Filing Type
Confirm the formation date and filing type (FLAL for LLC, DOMP for profit corp, etc.) match what you expect. Mismatches suggest possible impersonation or fraudulent records.
What Good Standing DOESN'T Cover
- ✗Federal tax status: An LLC can be active with Florida but have unpaid IRS taxes or be delinquent on payroll.
- ✗State tax compliance: Sales tax, employment tax, corporate income tax — all separate from good standing.
- ✗Liens or judgments: Sunbiz doesn't show UCC filings, tax liens, or court judgments against the entity.
- ✗Ownership disputes: Good standing doesn't confirm actual ownership or membership structure.
- ✗Fraud: Good standing is based on filing compliance, not authenticity of amendments.
Red Flags During Good Standing Verification
If you notice any of these while verifying good standing, dig deeper:
- Status shows anything other than 'Active'
- Annual report is more than 12 months old
- Multiple officer changes in the last 60 days (without explanation)
- Registered agent changed recently (possible hijacking)
- Principal address is a virtual office or PO box (may indicate fraud)
- Administrative actions or penalty notices in history
- LLC name has been amended multiple times (obfuscation tactic)
